Vivion completes acquisition of Berlin inner city asset

Vivion Investments completes acquisitions in Berlin and Rhine Rhur

Vivion Investments S.á r.l. recently completed the acquisition of an 89.9% interest in a world class inner-city mixed-use asset located in the heart of Berlin.

The acquisition was effected through Vivion’s subsidiary Golden Capital Partners, in which it currently holds a 51.5% stake.

Vivion is also pleased to announce that it has recently completed the acquisition of an office complex in the Rhine-Ruhr region. The acquisition of these prime assets further strengthens Vivion’s real estate portfolio in Germany.

Vivion buys £255m London hotels

Vivion buys London hotels for £255 million

Vivion Investments S.á r.l. has agreed to sell one of its London hotels for a total consideration of £90 million, representing a 28% premium to its current value and 36% above acquisition cost. This transaction will close on 31 December 2019. At the same time, in a move to strengthen its presence in the London hotel market Vivion has agreed to purchase two hotel assets in a prime London location for a total consideration of £255 million. Following completion of these transactions, Vivion’s portfolio in greater London will comprise 16 hotels. The transaction will be largely funded from the proceeds of the disposal and from Vivion’s first bond, issued in August 2019. In Germany, Vivion is actively pursuing a number of transactions, which will be funded by the proceeds from its second bond, issued in October 2019.

Vivion Investments S.á r.l. (the “Company”) announces its results for the first half of 2019, demonstrating a strong development of GAV, achieved by continuous acquisition activities and stable operational results of its portfolio.

Highlights H1 2019

  • 32.6% increase in GAV to EUR 2,863 million (EUR 2,159 million as of 31 December 2018)
  • Completed acquisition of 26 hotels in the UK
  • Completed acquisitions of 4 office properties and disposed of 1 mixed use property in Germany
  • German portfolio continues to generate stable income with relatively low vacancy
  • UK hotel operation revenues and sales stable with no material change across the total UK portfolio

Vivion announces successful pricing of new senior unsecured notes

Vivion Investments S.á r.l. announces successful pricing of new senior unsecured notes in an aggregate principal amount of €300,000,000 due 2025 with a coupon of 3.500%

Vivion Investments S.á r.l. announced on Friday the successful pricing of new senior unsecured notes in an aggregate principal amount of €300,000,000 due 2025 with a coupon of 3.500% at an issue price of 98.679% following a series of investor calls and supported by strong investor demand during bookbuilding. The net proceeds of the offering will be used to finance acquisition of real estate assets in Germany. The notes will be issued in minimum denominations of €100,000 and have a BB+ rating by Standard & Poor’s Ratings Services. Application has been made to the Irish Stock Exchange plc, trading as Euronext Dublin for the Notes to be admitted to the Official List and to trading on the Global Exchange Market of Euronext Dublin. The notes have been offered and sold only outside the United States in accordance with Regulation S. Goldman Sachs International and J.P. Morgan Securities plc acted as Joint Global Coordinators and Joint Bookrunners and Merrill Lynch International and Citigroup Global Markets Limited acted as Joint Bookrunners in the offering.

S&P Rates Vivion bonds "BB+"

The internationally renowned rating agency S&P Global Ratings today assigned a rating of “BB+” to the EUR 700 million 3% senior notes due 2024 issued on 8 August 2019 by Vivion Investment S.á r.l. (the “Company”). In addition, S&P Global Ratings assigned a rating of “BB” with a stable outlook to the Company. The rating confirms S&P Global Ratings preliminary rating assigned on 22 July 2019.

Vivion Investments S.à r.l. (the “Issuer”) announces that following the issue of its € 700 million 3% Senior Notes due 2024 (the “Notes”) on 8 August 2019, the proceeds from the Notes were released today to the Issuer by the escrow agent upon satisfaction of the release condition as set forth in the terms and conditions of the Notes.
